1. Introduction and Acceptance

Welcome to ChangeAble. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Issoria Limited, trading as ChangeAble Limited ("we," "our," or "us"), governing your access to and use of the ChangeAble.ai platform, including our website, applications, and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that:

• You are not prohibited from using the Service under applicable law

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

3.3 One Account Per User

You may only create one account. Creating multiple accounts may result in termination of all your accounts.

4. Subscription Plans and Pricing

4.1 Subscription Tiers

ChangeAble offers the following subscription plans:

• Free Tier: Limited access to AI Change Impact Assessment and AI Benefits Tracker with usage credits
• Pro Tier: £49.99/month (or equivalent in your local currency) with unlimited use of core tools
• Enterprise Tier: Custom pricing with access to all 14 tools, enterprise dashboard, AI assistant, and deployment options

4.2 Pricing Changes

We reserve the right to modify our pricing at any time. Price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing cycle. Your continued use of the Service after the price change constitutes acceptance of the new pricing.

4.3 Taxes

All fees are exclusive of applicable taxes (including VAT), which will be added to your invoice as required by law.

5. Payment Terms

5.1 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan. Payment is due immediately upon subscription and on each renewal date.

5.2 Payment Methods

You must provide a valid payment method to subscribe to paid plans. By providing payment information, you authorize us to charge all fees incurred through your account to that payment method.

5.3 Failed Payments

If a payment fails, we will attempt to notify you and may retry the charge. If payment remains unsuccessful, we may suspend or downgrade your account until payment is received.

5.4 No Refunds

Except as required by law or as stated in our Refund Policy, all fees are non-refundable. We do not provide refunds or credits for partial subscription periods or unused features.

6. Subscription Management

6.1 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee.

6.2 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at info@issoriachange.com. Cancellations take effect at the end of the current billing period. You will retain access to paid features until the end of your paid period.

6.3 Downgrades

If you downgrade your subscription, the change will take effect at the start of the next billing cycle. You may lose access to certain features immediately upon downgrade.

7. Use of the Service

7.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

7.2 Restrictions

You agree not to:

• Copy, modify, distribute, sell, or lease any part of the Service
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Remove, obscure, or alter any proprietary notices
• Use the Service for any unlawful purpose or in violation of these Terms
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or related systems
• Use automated systems (bots, scrapers) to access the Service without permission
• Share your account credentials with others or allow others to access your account

7.3 Acceptable Use

Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference.

8. AI-Generated Content and Limitations

8.1 AI Assistance

ChangeAble uses artificial intelligence to analyze your input and generate change management deliverables, insights, and recommendations. AI-generated content is intended to assist and accelerate your work, not replace professional judgment.

8.2 Human Review Required

You acknowledge that AI-generated content may contain errors, inaccuracies, or inappropriate suggestions. You are solely responsible for reviewing, validating, and approving all AI-generated content before use. We are not liable for any consequences arising from your use of AI-generated content.

8.3 No Professional Advice

The Service provides tools and AI assistance for change management but does not constitute professional consulting, legal, financial, or other expert advice. You should consult with qualified professionals for specific guidance.

8.4 AI Model Limitations

AI models may have knowledge cutoff dates, biases, or limitations. Outputs should not be considered factually complete or authoritative without verification.

9. Intellectual Property Rights

9.1 Our Intellectual Property

The Service, including its software, design, text, graphics, logos, and other content (excluding User Content), is owned by Issoria Limited and protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.

9.2 Your Content

You retain all ownership rights to the content you upload, create, or input into the Service ("User Content"), including documents, stakeholder data, and project information.

9.3 License to Use Your Content

By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely to provide and improve the Service. This license terminates when you delete your content or account, except for copies retained for legal compliance.

9.4 AI-Generated Content Ownership

You own the AI-generated content created through the Service based on your inputs, subject to our underlying intellectual property rights in the Service itself. However, AI outputs may not be unique to you, as similar inputs from other users may produce similar outputs.

9.5 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to you.

10. Data and Privacy

Our collection, use, and protection of your personal data is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

You are responsible for ensuring that any personal data you input into the Service (such as stakeholder information) is collected and processed in compliance with applicable data protection laws.

11. Service Availability and Modifications

We strive to provide reliable service but do not guarantee that the Service will be available at all times, uninterrupted, or error-free. We may experience downtime for maintenance, updates, or due to factors beyond our control.

11.2 Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

11.3 Updates and Maintenance

We may perform scheduled maintenance and updates. We will endeavor to provide advance notice of scheduled downtime when possible.

12. Termination

12.1 Termination by You

You may terminate these Terms by canceling your subscription and deleting your account at any time.

12.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

• You breach these Terms or our policies
• You fail to pay applicable fees
• Your use of the Service poses a security risk or legal liability
• We are required to do so by law
• We discontinue the Service

12.3 Effect of Termination

Upon termination, your right to access and use the Service immediately ceases. We may delete your account and User Content within 30 days of termination. You should export any important data before terminating your account.

12.4 Survival

Sections of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, and dispute resolution.

13. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that:

• The Service will meet your requirements or expectations
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• AI-generated content will be error-free, complete, or suitable for your purposes
• Any errors in the Service will be corrected

14. Limitation of Liability

To the maximum extent permitted by applicable law, Issoria Limited, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Errors, inaccuracies, or omissions in AI-generated content
• Any decisions made based on AI-generated content

In no event shall our total liability to you for all claims arising out of or relating to these terms or the service exceed the amounts paid by you to us in the 12 months preceding the claim, or £100, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Issoria Limited, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms or any applicable law
• Your User Content or any content you submit
• Your violation of any rights of another party
• Your use of AI-generated content

16. Dispute Resolution and Governing Law

16.1 Governing Law

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

16.2 Jurisdiction

You agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the courts of England and Wales, and you consent to the personal jurisdiction of such courts.

16.3 Informal Resolution

Before filing any formal legal action, you agree to first contact us at info@issoriachange.com to attempt to resolve the dispute informally.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and Refund Policy, constitute the entire agreement between you and Issoria Limited regarding the Service and supersede all prior agreements.

17.2 Modifications to Terms

We may modify these Terms at any time by posting the updated Terms on our website. Material changes will be communicated via email or prominent notice on the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

17.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17.4 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

17.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

17.6 Third-Party Beneficiaries

These Terms do not confer any third-party beneficiary rights.

17.7 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemics, natural disasters, or failures of third-party services.
